Terms of Service
1. Acceptance
By accessing this website or engaging Sayko Textile for sourcing, sampling, or production services, you agree to these terms. If you do not agree, please do not use the site or our services.
2. Services
We provide fabric sourcing, pattern-making, sampling, garment production, quality control, and logistics for apparel brands and trade clients. Specific scope, pricing, and timelines are agreed in writing per project through a quotation, order confirmation, or master supply agreement.
3. Quotations and orders
Quotations are valid for 30 days unless stated otherwise. An order becomes binding on our written confirmation. Material and labour costs may be adjusted prior to confirmation due to volatility in raw material markets.
4. Payment terms
Standard terms are 30% deposit on order confirmation and 70% balance against shipping documents, unless agreed otherwise. Late payment may incur interest at the maximum rate permitted by applicable law and may suspend ongoing production.
5. Samples and approvals
Bulk production starts only after written approval of the pre-production sample. The approved sample is the reference for quality control. Variations in colour, weight, and finish within agreed commercial tolerances are not considered defects.
6. Intellectual property
You retain ownership of your brand, designs, artwork, and tech packs. You grant us a limited licence to use them solely to fulfil the agreed services. We retain ownership of our internal patterns, processes, and know-how.
7. Confidentiality
Both parties agree to keep non-public commercial and technical information confidential and to use it only for the purposes of the engagement.
8. Delivery and risk
Unless agreed otherwise, deliveries are made FCA our nominated warehouse. Risk passes on hand-over to the carrier. Estimated lead times are commercial estimates and not guarantees.
9. Warranties and liability
Goods are produced to the approved sample and tech pack. Our aggregate liability for any order is limited to the invoice value of that order. We are not liable for indirect, incidental, or consequential losses, including loss of profit, retail margin, or goodwill.
10. Force majeure
Neither party is liable for delays or non-performance caused by events beyond its reasonable control, including raw material shortages, transport disruption, strikes, or government action.
11. Changes
We may update these terms from time to time. The current version is always published on this page; material changes will be communicated to active clients in writing.
